Alussa Energy Acquisition Corp. II is a blank check company incorporated on August 16, 2024 as a Cayman Islands exempted company and formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities that the Company has not yet identified, which it refers to throughout this Report as its initial Business Combination. To date, the Company has not selected any Business Combination target and its efforts have been limited to organizational activities, activities related to its Initial Public Offering, and searching for a Business Combination target. The Company has also generated no operating revenues to date and does not expect that it will generate operating revenues until it consummates its initial Business Combination. While it may pursue an acquisition opportunity in any industry or sector, it intends to focus on businesses in the energy and power infrastructure sectors, particularly those that are empowering or beneficiaries of the continued transition towards renewable energy. It will seek to acquire one or more businesses with an aggregate enterprise value of approximately $1.0 billion to $1.5 billion, although it may acquire a business of any size and intends to focus on businesses it believes are poised for continued growth. The 2024 SPAC Rules may materially affect its ability to negotiate and complete its initial Business Combination and may increase the costs and time related thereto.

Alussa Energy Acquisition Corp. II generates revenue solely through the interest earned on funds held in the Trust Account established in connection with its Initial Public Offering and private placement. The Company does not have any operating business and therefore does not generate revenue from the sale of products or services. Its current financial position is derived from the proceeds of its Initial Public Offering and private placement, which were placed in the Trust Account maintained by Continental, acting as trustee. As of the filing, a total of $287,500,000, comprised of $287,250,000 from the Initial Public Offering and $250,000 from the private placement, was placed in the Trust Account. Revenue generation is limited to interest income on these held funds, which accumulates over time until the initial Business Combination is completed. The Company does not expect to generate operating revenues from any business activities until it identifies and completes its initial Business Combination with a target company.

Once a Business Combination is consummated, the post-transaction company will operate in the industry of the acquired target. Until that point, the Company has no competitive position, market share, or operational presence in any industry. Its value proposition lies in the experience of its Management Team and Sponsor in identifying, acquiring, and creating value in energy sector businesses, which it intends to leverage after the Business Combination is completed.

Alussa Energy Acquisition Corp. II has no customer base as it currently has no operating business or commercial activities. The Company does not sell products or services to any customers and has not engaged in any revenue-generating operations since its incorporation. Its activities to date have been limited to organizational efforts, Initial Public Offering execution, and the search for a Business Combination target. Once the initial Business Combination is completed, the customer base of the post-transaction company will be determined by the nature of the acquired business in the energy and power infrastructure sectors. Until such time, there are no customers served by the Company in its current form as a blank check vehicle.
